Job Title: Group Company Secretary / Head, Compliance

Location: Lagos

Job Description

  • We are looking for an individual with proven leadership skills, sound technical knowledge and experience, a robust track record of successes and achievements with extensive experience in leading the Secretariat function at a listed company in the Senior or Executive Management level.
  • The Group Company Secretary/Head, Compliance will report to the Group Managing Director/Chief Executive Officer and the Board of Directors of NGX Group.
  • The successful candidate will be responsible for managing the secretarial activities of the Board and oversee the secretariats of the Board of subsidiary companies as well as manage all compliance related matters. In addition, He/She will also lead the secretariat and provide advisory services to the Board as required.

Responsibilities

  • Organise and service meetings (producing agendas and taking minutes) for the Board of Directors.
  • Coordinate Annual General Meetings for NGX Group and other statutory meetings as required.
  • Maintain statutory books, including registers of members through oversight of our Registrars.
  • Coordinate the Secretariats of the subsidiaries, and provide guidance on their operations and functions
  • Develop a timely and robust system of communicating Board decisions to employees and other stakeholders as appropriate.
  • Provide exemplary leadership to all Board Secretariat and Compliance employees.
  • Manage the database and all minutes, records and other important information on behalf of the Group and the Board.
  • Coordinate travel arrangements for members of Board when required.
  • Manage the budget for board expenses
  • Review NGX Group governance framework against global best practices
  • Advise Executive Management and the Board of Directors on suggested changes to the NGX Group governance framework and ensuring the framework and supporting policies and procedures are well documented and up to date.
  • Assist the Board Chairman to enhance board evaluations, induction and development processes, including developing tailored training plans for individual directors.
  • Uphold the legal requirements of governing documents as it relates to company law (where relevant).
  • Develop and implement statutory policies and procedures to ensure NGX Group and its subsidiaries comply with all relevant laws and regulations.
  • Ensure NGX Group consistently achieves high levels of compliance with all relevant laws and regulations as well as industry best practices.
  • Act as an independent review and evaluation body that ensures compliance issues/concerns within the organisation are being appropriately evaluated, investigated and resolved.
  • Develop an annual compliance work plan amongst other goals, review the compliance of NGX Group with regards to its core values, strategy, legal framework, an identify potential areas of compliance vulnerability and risk.
  • Coordinate with the SEC, Legal department and all other departments as applicable to obtain updates on regulatory changes pertaining to NGX Group.

Person Specification & Required Qualification(s)

  • First Degree in Law.
  • LLM/MBA or a relevant professional qualification(s) will be an advantage.
  • Member, Institute of Chartered Secretaries will be an advantage.
  • Minimum of twelve (12) years’ cognate experience with at least five (5) years’ experience in a Senior Management related role.
  • Experience in a listed company, financial services, or Capital market.
  • A visionary with a deep knowledge of what is required to lead the Secretariat function in a Holding Company (HoldCo).
  • Must be able to build strong partnerships with relevant stakeholders.
  • Must have a strong working knowledge of management strategies, project management, and the core businesses of the HoldCo and respective subsidiaries
  • Experience working in a Group setting is also desired.
