Job Title: Senior Legal Advisor

Location: Ilupeju, Lagos

Overview

  • Come join Arnergy’s Legal team to oversee all legal aspects of its business by developing structures and reviewing and advising on legal matters relating to commercial transactions, employee and third party agreements to mention a few.
  • You will be supporting the CFO in the overall management and oversight of the Legal functions.
  • As a Senior Legal Adviser, you’ll work closely with the Company Secretary to deliver on all board related matters and other business stakeholders especially, our investor.

Responsibilities
You’ll focus on:

  • Structuring, drafting and negotiating various transactional agreements,including license agreements, joint development agreements, and professional services agreements
  • Assisting in the development of new and more effective business models to improve the quality of the Company’s licensing transactions
  • Designing and overseeing the company’s policy and position on legal matters to protect the company against legal risks and violations.
  • Reviewing and negotiating of large scale commercial contracts
  • Demonstrating and communicating thought leadership internal to and external as an ambassador and spokesperson for the company on all relevant legal matters.
  • Advising on Board governance documents and governance issues, preparing materials for Board and committee meetings.
  • Working with the company Secretary in scheduling Board and Committee meetings monthly and quarterly.
  • Providing oversight of the Company’s contract administration processes to ensure compliance with applicable laws and other internal Company policies.
  • Overseeing the corporate secretarial matters for the company
  • Supporting the department on all risk management matters and working closely with the Risk Manager to evaluate and mitigate legal risks
  • Operating within a prescribed budget and, where possible, institute procedures that will make the team more efficient and reduce costs
  • Engaging with the executive team members on decision making to drive the objectives and key results of the legal unit
  • Evaluating new business partnerships with vendors and subcontractors.
  • Providing general legal advice on day to day operational matters.
  • Providing legal advisory and recommendations on industry best practices on the company’s relationship with its investors, partners, customers, suppliers, employees etc.
  • Leading engagements with third party legal advisers and advising executive management team on transactions
  • Coordinating and managing the outsourcing of legal work when required for the Arnergy to external advisers.
  • Guiding management on regulatory and compliance issues to ensure compliance with legal regulations in the industry

Requirements & Skills
You’ll be a good fit for this role if you are/have:

  • LLB in Law with strong academic credentials
  • Master’s in Law would be preferred additional qualification
  • Experience reviewing and negotiating large scale commercial contracts in the  energy industry
  • Experience in dealing with multiple functional teams in a rapidly scaling business
  • 8-10  years experience working with a law firm and in-house in the energy industry.
  • Comprehensive knowledge of statutory regulations
  • Prior experience in startups / early-stage / fast-paced growth environments

We’d also like to see:

  • A generalist knowledge on all aspects of commercial and corporate law
  • Knowledge of labour law and corporate affairs is essential
  • Ability to work independently with minimal support/supervision
  • Superior oral and written communication

  • Ability to produce/review quality legal drafts
  • Ability to work under pressure and respond to situations with speed and efficiency
